The Buyer acknowledges that the Buyer has had a full and adequate opportunity to inspect the Property prior to the execution of this Agreement and accepts the Property in its current condition as described herein.
The total purchase price for the Property is [sale_price] (the "Purchase Price"), payable in full by the Buyer to the Seller on or before the Sale Date. The Buyer and Seller acknowledge and agree that the Purchase Price represents the fair and agreed-upon value of the Property as negotiated between the Parties at arm's length. The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.
5.1 Governing Law. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the state in which the transaction is consummated, without regard to its conflict of laws principles. 5.2 Entire Agreement. This Agreement may not be amended, modified, or supplemented except by a written instrument signed by both Parties. 5.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. 5.6 Binding Effect. As a California drone pilot, a standard Bill of Sale isn't enough to mitigate the risks of Part 107 violations or privacy-related litigation. Whether you are selling a LiDAR-equipped unit or a custom-built payload system, you need a document that addresses California Civil Code requirements and confirms the transfer of FAA-registered assets. Our Bill of Sale ensures you comply with Cal. Civ. Code § 1624 for transactions over $500, providing clear seller representations regarding airworthiness, lien-free title, and the transfer of critical flight logs to protect both parties from future airspace liability or property damage claims.
Beyond the standard bill of sale sections, this template adds fields specific to Drone Pilot:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
FAA Regulation Violations
Contracts can specify that pilot maintains active Part 107 certification and compliance with all FAA guidelines.
Privacy Invasions
Agreements often include clauses ensuring compliance with federal and state privacy laws, as well as specifying data collection practices.
Yes. The document ensures that the seller confirms the sUAS meets FAA airworthiness requirements at the time of sale and provides a clear record of transfer for the FAA DroneZone registration system. It also includes sections to specify if the Remote Pilot Certificate status or flight history logs are part of the transaction.
Given California's strict privacy laws (CCPA), this Bill of Sale includes recommended clauses regarding the scrubbing of data from internal storage and gimbals, ensuring the buyer takes responsibility for future data collection practices once the drone is transferred.
In California, any sale of goods exceeding $500 must be in writing to be legally enforceable. Since most commercial drones and high-end payloads like LiDAR or thermal cameras exceed this threshold, a formal signed Bill of Sale is legally required to establish proof of ownership.
While this is a Bill of Sale for equipment, it is drafted with California Labor Code considerations in mind to ensure the asset transfer is documented as a distinct commercial transaction, helping maintain the professional separation required under the ABC test for independent contractors.
