The Buyer acknowledges that the Buyer has had a full and adequate opportunity to inspect the Property prior to the execution of this Agreement and accepts the Property in its current condition as described herein.
The total purchase price for the Property is [sale_price] (the "Purchase Price"), payable in full by the Buyer to the Seller on or before the Sale Date. From and after the transfer of title, the Buyer shall be solely responsible for the Property, including its care, maintenance, insurance, and all risks of loss, damage, theft, or destruction. The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.

This Agreement may not be amended, modified, or supplemented except by a written instrument signed by both Parties. 5.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. 5.6 Binding Effect. In the high-stakes Texas film industry—from Austin indie sets to Dallas commercial studios—a robust Bill of Sale is essential for transferring high-value equipment like RED cameras or intellectual property like B-roll and graded masters. Under the Texas Business and Commerce Code § 26.01, documented proof of sale is vital for enforceability. Our specialized document protects your production company from equipment liability, ensures clear title for licensing under the Copyright Act of 1976, and includes necessary Texas-specific disclaimers to satisfy DTPA consumer protection standards and community property considerations.
Beyond the standard bill of sale sections, this template adds fields specific to Video Production Company:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Copyright Infringement
Use contracts that include warranties of originality and appropriate licensing agreements for footage and music.
Breach of Talent Agreement
Implement clear contractual terms detailing talent obligations, rights, and compensation.
Yes, while a standard Bill of Sale often covers physical gear, this version includes provisions to specify whether raw footage or final masters are included. To be enforceable under the Copyright Act of 1976, any transfer of exclusive rights must be in writing. This document helps avoid 'Work Made for Hire' disputes and clarifies usage rights for b-roll and post-production assets.
Sales are primarily governed by the Texas Business and Commerce Code. If you are selling business assets in bulk, you must be aware that Texas does not follow the standard UCC provision for Bulk Sales. Additionally, the Texas Homestead Law and community property rules may apply if the equipment is considered a joint marital asset or used in a home-based studio.
While Texas law does not strictly require notarization for all personal property sales, it is highly recommended for high-value production gear (like cinema arrays or lighting packages) to prevent disputes. Our document includes a Notarization and Witness Verification section to ensure authenticity and satisfy potential lienholder requirements under Texas lien laws.
To protect the seller from DTPA (Deceptive Trade Practices Act) claims, this Bill of Sale includes a robust Warranties and Disclaimers section. It explicitly states the buyer's acknowledgment of the item's condition, mitigating risks related to equipment damage or hidden defects in used post-production hardware.
