In the Michigan real estate market, professional home staging involves high-value staging inventory and significant liability risks. Whether you are selling off furniture from a staging project or transitioning inventory to a client post-sale, a formal Bill of Sale is critical. It protects you from the Michigan Consumer Protection Act disputes by clearly defining the 'as-is' condition of the property. Under MCL 566.132 (Statute of Frauds), securing a written agreement is essential for high-value asset transfers to ensure enforceability and mitigate claims of property damage or insurance gaps during the transition of ownership.
Beyond the standard bill of sale sections, this template adds fields specific to Home Staging Professional:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Property Damage
Contracts typically include clauses that limit liability for accidental damage to client property, or specify responsibilities for repairs and replacements.
Personal Injury
Staging contracts often include hold harmless or indemnification clauses protecting the stager from injuries sustained by the client, visitors, or third parties during the staging process.
By including explicit 'Warranties and Disclaimers' and an 'As-Is' clause, you clearly define that the buyer accepts the staging inventory in its current state. This mitigates the risk of becoming liable under the Michigan Consumer Protection Act for alleged failure to disclose defects in used furniture or decor.
Yes. While the Bill of Sale focuses on the transfer of title, our recommended structure includes indemnification clauses to protect the staging professional from personal injury or property damage claims that may occur during the physical move, consistent with Michigan's modified comparative fault rules.
A standard Bill of Sale only covers tangible inventory. If you are also selling the rights to your staging photography commonly used for MLS listings, you must specify the transfer of those intellectual property rights separately within the 'Description of Item' to avoid contractual pain points regarding usage.
