The Seller hereby represents and warrants to the Buyer that: (a) the Seller is the sole and lawful owner of the Property and has full right, power, and authority to sell, transfer, and convey the Property to the Buyer; (b) the Property is free and clear of all liens, encumbrances, security interests, pledges, claims, charges, and restrictions of any kind whatsoever; (c) the Seller has not previously sold, transferred, assigned, pledged, or otherwise encumbered the Property or any interest therein to any other person or entity; and (d) the Seller will defend the Buyer's title to the Property against any and all claims and demands of any person or entity claiming an interest therein.

From and after the transfer of title, the Buyer shall be solely responsible for the Property, including its care, maintenance, insurance, and all risks of loss, damage, theft, or destruction. The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.

This Agreement may not be amended, modified, or supplemented except by a written instrument signed by both Parties. 5.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. 5.6 Binding Effect. The Seller acknowledges that the Voiceover Recordings provided may constitute biometric identifiers or biometric information under the Illinois Biometric Information Privacy Act (740 ILCS 14/). Seller hereby provides express written consent for the Buyer to collect, store, and use Seller’s voice print for the limited purpose of the project described herein. Buyer agrees not to sell, lease, or trade the Seller's voice print or use it to create unauthorized AI-generated voice syntheses without a separate, specific written agreement.
Pursuant to the Copyright Act of 1976, the transfer of ownership of the audio files does not grant the Buyer any rights beyond the specified 'Scope of Usage' selected in this agreement. Seller retains all rights to any performances not specifically identified as 'sold' herein. Unless otherwise stated, this sale is non-exclusive, and Seller reserves the right to perform similar services for third parties, provided such services do not breach any specific, written exclusivity provisions strictly governed by the Illinois Freedom to Work Act (820 ILCS 90/).
The Purchase Price identified in this Bill of Sale is subject to the Illinois Wage Payment and Collection Act (820 ILCS 115/). Any late payments shall accrue interest at the maximum rate permitted by law. Unauthorized use of audio prior to full payment constitutes a material breach and copyright infringement.
IN WITNESS WHEREOF, the Parties have executed this Bill of Sale as of the date first written above, each acknowledging receipt of a copy of this Agreement.

In the fast-paced voiceover industry, oral agreements for audio deliverables often lead to usage rights disputes or non-payment. For Illinois-based artists, a formal Bill of Sale is essential to transfer ownership of the 'raw audio' or 'buyout' rights while protecting your biometric voice data under local statutes like BIPA. This document serves as definitive proof of purchase and transfer, protecting you against revision scope creep and ensuring compliance with the Illinois Wage Payment and Collection Act.
Beyond the standard bill of sale sections, this template adds fields specific to Voiceover Artist:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Usage Rights Disputes
Contracts should clearly define the scope, duration, and territory of usage rights to prevent unauthorized use and ensure compliance with agreed terms.
Non-Payment
Contracts can include clear payment terms, milestones, and late fees to protect against non-payment. Including clauses for interest on late payments is also common.
The Illinois Biometric Information Privacy Act (BIPA) treats voice prints as biometric identifiers. This Bill of Sale includes necessary consent language to ensure that the collection and use of your specific vocal characteristics for the project comply with 740 ILCS 14/, shielding you from unauthorized high-tech vocal replication.
Yes. This Bill of Sale allows you to define whether the sale is a full 'buyout' or limited to specific media, territories, or durations. Clear definitions are required to mitigate common industry liabilities regarding usage scope under the Copyright Act of 1976.
Under the Illinois Wage Payment and Collection Act (820 ILCS 115/), you have specific protections against withheld compensation. Having a signed Bill of Sale with clear purchase price terms serves as evidence for the Illinois Department of Labor should you need to file a claim for non-payment.
