The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.

In the Texas roofing industry, clear documentation is the only way to protect your business from Deceptive Trade Practices Act (DTPA) claims and ownership disputes. Whether you are liquidating surplus shingles and underlayment or selling used ridge vents and flashing equipment, a standard receipt isn't enough. You need a document that accounts for Texas Business and Commerce Code § 26.01, ensuring that high-value equipment transfers are properly recorded to avoid lien complications and clarify that the item is sold in 'as-is' condition to mitigate future storm damage or warranty liability.
Beyond the standard bill of sale sections, this template adds fields specific to Roofing Contractor:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Warranty Disputes
Detailed warranty clauses in contracts, specifying the scope, duration, and limitations of warranties on labor and materials.
Texas law is stringent regarding consumer protection. Including a clear 'As-Is' clause and detailed equipment representations helps mitigate risks of a DTPA claim by ensuring the buyer acknowledges the specific condition of the roofing assets at the time of transfer, reducing your liability for future mechanical or material failures.
Yes. Under Texas law, especially regarding construction assets, it is vital to include a representation that the items sold are free from any superior liens or encumbrances. This protects the buyer from third-party claims and protects you from breach of contract litigation.
While not always legally mandated for small tool sales, Texas Business and Commerce Code standards suggest notarization for high-value assets to ensure enforceability and authenticity. This provides an extra layer of protection if the sale is scrutinized under the Statute of Frauds.
It is designed to cover both. You must provide a detailed 'Description of the Item Sold,' including square footage for roofing materials like shingles or linear feet for flashing, as well as serial numbers for tools like pneumatic nailers or fall protection systems.
