In Illinois, transferring ownership of high-value tutoring assets—such as proprietary curriculum, SAT prep software, or specialized assessment tools—requires a written record to satisfy the Illinois Statute of Frauds (740 ILCS 80/1) for sales over $500. As a private tutor, you must clearly witness the transfer of title and include 'as-is' disclaimers to mitigate liability for student performance outcomes. This document ensures that intellectual property rights are addressed and that the buyer acknowledges the condition of educational materials, providing essential protection under the Illinois Consumer Fraud Act.
Beyond the standard bill of sale sections, this template adds fields specific to Private Tutor:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Liability for Student Performance Outcomes
Contract clauses commonly include disclaimers of guarantee of specific academic outcomes and emphasize the role of the student's effort.
Personal Injury Liability
Contracts often include waivers of liability and require that tutoring takes place in safe environments with appropriate supervision for minors.
While this document transfers ownership of materials, in Illinois you must be strictly compliant with the Biometric Information Privacy Act (BIPA) and the Employee Privacy in the Workplace Act (820 ILCS 70/) if any student or tutor data is attached. Ensure all sensitive biometric or private social data is purged before transferring hardware or digital storage to a new owner.
Under Illinois common law, an 'As-Is' clause helps protect the seller from claims regarding the effectiveness of the lesson plans or curriculum. It clarifies that the tutor makes no guarantee of specific academic outcomes or SAT/ACT score improvements, shifting the responsibility for student performance to the buyer's implementation.
While not strictly required for all personal property under 735 ILCS 5/2-606, notarization is highly recommended for high-value transfers of proprietary curriculum or tutoring business assets to prevent future disputes over signature authenticity and to ensure the document is easily enforceable in Illinois courts.
