While I am fully prepared to pursue legal remedies if necessary, I would prefer to resolve this matter without the time, expense, and burden of litigation. If you wish to discuss a payment arrangement or negotiate a resolution, you must contact me in writing within the deadline specified above. Any offer to settle must include payment of a substantial portion of the amount owed and a firm, enforceable timeline for payment of any remaining balance. I am under no obligation to accept any settlement offer, and my willingness to consider one should not be construed as a concession or waiver of any of my rights. Any unauthorized use, reproduction, distribution, or display of the aforementioned content constitutes copyright infringement. The Recipient's actions, as detailed in the Statement of Facts, are a direct violation of these intellectual property rights and, if applicable, the terms of any guest release forms or intellectual property licensing agreements previously executed by the Parties. Failure to cease and desist from all infringing activities or provide adequate compensation in accordance with this demand will result in further legal action, including but not limited to claims for statutory damages, actual damages, and attorney's fees under applicable federal and state copyright laws.
The Sender strictly adheres to Federal Trade Commission (FTC) Guidelines regarding advertising and sponsorship disclosures, ensuring transparency for listeners. Any actions by the Recipient leading to misleading endorsements or advertising, or failure to comply with agreed-upon disclosure requirements during sponsorship segments, constitutes a breach which may also be deemed a deceptive trade practice under the Texas Business and Commerce Code, specifically Chapter 17 on Deceptive Trade Practices and Consumer Protection Act (DTPA). The Recipient is hereby demanded to rectify any such non-compliance and provide assurance of future adherence to both FTC guidelines and Texas consumer protection laws to avoid further penalties or legal action under the DTPA.
This Demand Letter and all claims arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. The parties agree that any legal action or proceeding arising out of or relating to this Demand Letter shall be brought exclusively in the state or federal courts located in Texas.
