Buying or selling a mobile food unit in Michigan requires more than a handshake. To satisfy the Michigan Statute of Frauds (MCL 566.132) and ensure a clean transition for health inspections and vending permits, you need a precise Bill of Sale. This document protects you from liabilities like undisclosed fire code violations or existing liens. By clearly outlining the transfer of specialized equipment like commissary kitchen storage and on-board cooking systems, you mitigate risks under the Michigan Consumer Protection Act and ensure both parties are protected from future foodborne illness claims or equipment disputes.
Beyond the standard bill of sale sections, this template adds fields specific to Food Truck Operator:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Health and Safety Violations
Regularly scheduled health inspections and certifications, detailed logs of sanitation procedures, and employee training documents.
Parking Violations
Contracts with private property owners for designated vending spots, and clear adherence to local parking regulations.
No. While the Bill of Sale documents the transfer of the physical truck and equipment, health permits are typically non-transferable in Michigan. The buyer must apply for a new Mobile Food Vendor License or Health Permit through their local health department, using the Bill of Sale as proof of ownership.
Beyond the asset transfer, you must consider the Michigan Right to Work law (MCL 423.209) and the Bullard-Plawecki Employee Right to Know Act (MCL 423.501) if employees are staying with the truck. These laws govern how personnel records are handled and prevent mandatory union stipulations in employment contracts during a transition.
Yes, under Michigan law, an 'As-Is' clause is generally enforceable as a disclaimer of warranties. However, the seller must still comply with the Michigan Consumer Protection Act by not actively concealing known material defects in the truck's fire suppression system or sanitation equipment.
While Michigan law generally requires signatures for a Bill of Sale to be valid under the Statute of Frauds, notarization is highly recommended for high-value assets like food trucks to ensure enforceability and satisfy Secretary of State requirements for title transfers.
