The Seller hereby sells, transfers, assigns, and conveys to the Buyer, and the Buyer hereby purchases and accepts from the Seller, the following described personal property (the "Property"): [item_description]. The Buyer acknowledges that the Buyer has had a full and adequate opportunity to inspect the Property prior to the execution of this Agreement and accepts the Property in its current condition as described herein.
The total purchase price for the Property is [sale_price] (the "Purchase Price"), payable in full by the Buyer to the Seller on or before the Sale Date. The Buyer and Seller acknowledge and agree that the Purchase Price represents the fair and agreed-upon value of the Property as negotiated between the Parties at arm's length. Upon receipt of the Purchase Price in full, the Seller shall be deemed to have been fully compensated for the sale, transfer, and conveyance of the Property, and the Seller shall have no further right, title, or interest in or to the Property or the Purchase Price.
The Seller hereby represents and warrants to the Buyer that: (a) the Seller is the sole and lawful owner of the Property and has full right, power, and authority to sell, transfer, and convey the Property to the Buyer; (b) the Property is free and clear of all liens, encumbrances, security interests, pledges, claims, charges, and restrictions of any kind whatsoever; (c) the Seller has not previously sold, transferred, assigned, pledged, or otherwise encumbered the Property or any interest therein to any other person or entity; and (d) the Seller will defend the Buyer's title to the Property against any and all claims and demands of any person or entity claiming an interest therein.

The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.

This Agreement may not be amended, modified, or supplemented except by a written instrument signed by both Parties. 5.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. 5.6 Binding Effect. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective heirs, executors, administrators, legal representatives, successors, and assigns.
The Seller, acting in the capacity of a Doula, expressly declares that the items sold or services transferred are non-medical in nature. In accordance with Illinois standards of practice, the Seller makes no guarantees regarding birth outcomes or specific health results. The Buyer acknowledges that items used for labor support (e.g., tens units, birth pools) do not constitute medical devices for clinical diagnosis or treatment. The Buyer agrees to indemnify the Seller against any claims arising from the expectation of medical results.
This Bill of Sale is executed under the Illinois Consumer Fraud and Deceptive Business Practices Act (815 ILCS 505/). The Seller represents that the description of the item, including its usage history in birth settings, is accurate and free from material misrepresentation. The item is sold 'as-is,' and the Seller disclaims all implied warranties of merchantability or fitness for a particular medical purpose, except as explicitly stated in writing herein.
The parties hereby acknowledge the requirements of the Illinois Biometric Information Privacy Act (BIPA) (740 ILCS 14/). Seller represents and warrants that any device or equipment included in this sale has been cleared of all 'biometric identifiers' and 'biometric information.' The Buyer assumes all responsibility for the collection of any new biometric data following the transfer of ownership, agreeing to comply with all Illinois privacy statutes.

As a doula in Illinois, the transfer of professional assets—from lactation support equipment to birth pools or even the sale of a care practice—requires meticulous documentation. Under the Illinois Consumer Fraud and Deceptive Business Practices Act, clear disclosure of item condition and ownership is essential to mitigate liability. This doula-specific Bill of Sale ensures your transactions are professional, secure, and legally enforceable within the Illinois jurisdiction.
Beyond the standard bill of sale sections, this template adds fields specific to Doula:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Birth Outcome Liability
Include disclaimers in contracts that clarify the doula's role as non-medical and state explicitly that birth outcomes cannot be guaranteed.
Scope of Practice Violations
Draft clear scope of service documents that delineate non-medical support functions to avoid accusations of unauthorized medical practice.
No. Under the Illinois Consumer Fraud Act, it is critical to explicitly state that the doula provides non-medical support. A Bill of Sale for services or equipment cannot guarantee a specific medical outcome, and any attempt to do so could lead to liability for practicing medicine without a license.
The Illinois Biometric Information Privacy Act (BIPA) is the strictest in the nation. If any equipment being sold collects biometric data (like certain smart health monitors), or if your records include such data, you must obtain written consent before transfer. This Bill of Sale includes a representation that no prohibited biometric data is being transferred without compliance.
While Illinois law (740 ILCS 80/1) primarily requires a written signature for contracts over $500 to satisfy the Statute of Frauds, notarization is highly recommended for high-value transfers of birthing equipment to prevent future disputes over identity and intent.
