Under O.C.G.A. § 13-8-50, Georgia requires that confidentiality agreements be reasonable in duration and scope. For veterinarians, this means the NDA must clearly define what constitutes a trade secret or proprietary treatment plan without being so broad that it prevents a technician or DVM from practicing their profession elsewhere.
While the NDA protects the confidentiality of your clinic's pharmacy logs and treatment protocols, it does not supersede your legal obligation to report data to the DEA or the Georgia Board of Veterinary Medicine if required by law. It does, however, prevent employees from sharing those internal records with unauthorized third parties or competitors.
If the employee signed a valid NDA that includes client lists as confidential info, you may seek remedies for breach under Georgia law. Georgia is a 'blue pencil' state, meaning courts can partially modify overbroad restrictions to make them enforceable, providing stronger protection for your practice's growth and client data.
