As a Minnesota tree service professional, your assets—from stump grinders to chippers—carry high value and unique liabilities. A standard template won't satisfy Minn. Stat. § 513.01 (Statute of Frauds) for items over $500 or protect you from the MN Consumer Fraud Act. Whether you are selling a used aerial lift or purchasing a new trimming rig, you need a document that handles the transfer of ownership while providing the necessary 'as-is' disclaimers and warranty waivers to mitigate risks related to tree care operations, OSHA compliance, and property damage liabilities.
Beyond the standard bill of sale sections, this template adds fields specific to Tree Service Company:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Falling tree or branch causing injury or damage
Use of indemnification clauses and liability waivers in service contracts to release the company from liability under specific circumstances.
Property damage during tree removal
Detailed contract terms specifying the scope of work and conditions under which the company will take responsibility for damage.
In Minnesota, the Uniform Commercial Code (UCC) requires any sale of goods priced at $500 or more to be in writing. For tree service companies, this means almost all equipment—like chainsaws, rigging gear, or specialized arboriculture tools—must have a signed Bill of Sale to be legally enforceable.
Our Bill of Sale includes recommended 'Warranties and Disclaimers' clauses. By selling the equipment 'as-is' and having the buyer acknowledge the current condition, you protect your company from future claims regarding the equipment's mechanical state, which is critical given the high-stress nature of tree removal work.
While not always required for all personal property, Minnesota best practices suggests notarization for high-value tree service assets to prevent ownership disputes. This adds a layer of authenticity that helps satisfy the Minnesota Data Practices Act and formalizes the transaction record.
The 'Description of the Item Sold' section should include serial numbers and any specialized certifications or safety logs. This ensures both parties comply with ANSI Z133 safety standards by tracking the history and specifications of the gear being transferred.
