The Seller hereby represents and warrants to the Buyer that: (a) the Seller is the sole and lawful owner of the Property and has full right, power, and authority to sell, transfer, and convey the Property to the Buyer; (b) the Property is free and clear of all liens, encumbrances, security interests, pledges, claims, charges, and restrictions of any kind whatsoever; (c) the Seller has not previously sold, transferred, assigned, pledged, or otherwise encumbered the Property or any interest therein to any other person or entity; and (d) the Seller will defend the Buyer's title to the Property against any and all claims and demands of any person or entity claiming an interest therein.

The Seller agrees to execute and deliver to the Buyer any and all additional documents, instruments, or certificates as may be reasonably necessary or appropriate to evidence or effectuate the transfer of title to the Property.
5.1 Governing Law. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the state in which the transaction is consummated, without regard to its conflict of laws principles. 5.2 Entire Agreement. The Seller represents that any painting materials or products sold herein comply with applicable Volatile Organic Compound (VOC) regulations as mandated under the Clean Air Act by the Environmental Protection Agency (EPA). For items intended for use in structures built before 1978, the Seller further declares adherence to the Renovation, Repair and Painting (RRP) Rule (40 CFR Part 745) if the materials directly involve lead-based paint activities, and such compliance, if applicable, is noted in the description of the item sold. Both parties acknowledge their understanding of and responsibility for mitigating risks such as 'VOC Exposure' and 'Lead Paint Liability' in accordance with federal and Michigan state law.
This Bill of Sale is subject to the Michigan Consumer Protection Act (MCPA), where applicable, specifically concerning fair trade practices and accurate representation of goods. The Seller warrants that the 'Description of the Item Sold' accurately reflects the condition, quality, and specifications of the item as understood by the Buyer, minimizing the potential for 'Color Disputes' or 'Property Damage' claims arising from misrepresentation. Any samples, color swatches, or precise specifications referenced in prior contracts related to the items sold shall be considered incorporated herein by reference.
This Bill of Sale shall be construed in accordance with and governed by the laws of the State of Michigan. Both parties acknowledge that for high-value transactions or as required by specific circumstances, notarization may be necessary to ensure maximum enforceability under Michigan law, particularly concerning MCL 566.132 for certain agreements required to be in writing beyond one year for enforceability. The parties also acknowledge that any non-compete agreements related to this transaction must comply with MCL 445.774a regarding their reasonableness in scope and duration.

As a painting contractor in Michigan, precise documentation is crucial. Our Bill of Sale template helps you formalize the transfer of materials, equipment, or even client assets after a job, mitigating common industry risks like color disputes, property damage, and lead paint liability. Ensure compliance with Michigan's unique legal landscape from Bullard-Plawecki to Right to Work laws.
A Michigan-specific Bill of Sale provides legal proof of ownership transfer for assets like paint batches, specific equipment, or even ownership of a completed painting job (e.g., when selling a client's property that was painted). It helps protect against disputes over color specifications, clarifies liability for material ownership, and can be vital in situations like lead paint liability by documenting the responsible party for materials. It also helps navigate Michigan-specific regulations related to consumer protection and labor laws if a purchase involves personnel or services tied to an asset.
While a Bill of Sale primarily transfers ownership, our custom fields allow for detailed descriptions of materials, including compliance with VOC regulations under the Clean Air Act. For transfers involving older properties built before 1978, the Bill of Sale can reference or include 'Lead-Based Paint Disclosure' as an additional clause, ensuring that EPA's RRP Rule compliance is acknowledged, and the buyer assumes liability or is aware of potential hazards if pre-1978 buildings are involved in the transaction.
Yes, by providing detailed descriptions of the item(s) being sold. If 'items' refers to a completed painting project or specific paint batches, the Bill of Sale can explicitly reference approved colors and brands from prior contracts, significantly reducing ambiguity. For equipment, specifying its 'as is' condition helps pre-empt property damage claims related to the equipment itself. The clear documentation of ownership transfer shifts responsibility, helping mitigate potential future disputes related to these common pain points.
