Whether you are selling a hydraulic massage table, high-end modalities, or an entire clinical practice in Maryland, a specific Bill of Sale is critical to mitigate liabilities. In Maryland, transactions exceeding $500 are subject to the Statute of Frauds (Md. Code Com. Law § 2-201) and require written documentation. This document ensures clear transfer of ownership, establishes 'as-is' status to protect against injury claims, and addresses the Maryland Personal Information Protection Act if client intake forms or HIPAA-protected records are included in the asset transfer.
Beyond the standard bill of sale sections, this template adds fields specific to Massage Therapist:
A Bill of Sale serves the core legal purpose of providing proof of the transfer of ownership of an item from the seller to the buyer. It formalizes the transaction and fulfills the legal need for documentation of the sale, aiding in preventing disputes over ownership and clarifying the terms and conditions agreed upon by the parties involved.
Client injury claims
Client intake forms and informed consent documents clearly outlining the treatments to be provided and any potential risks involved.
Licensing violations
Adherence to state-specific rules and maintaining up-to-date licenses and continuing education requirements.
If your sale includes digital assets or physical treatment plans, the Maryland Personal Information Protection Act (PIPA) applies. This Bill of Sale includes clauses for the secure transfer of protected health information to ensure the buyer maintains confidentiality standards required by both HIPAA and Maryland state law.
While Maryland allows for 'As-Is' sales of professional equipment like massage tables or stones, you must not engage in deceptive trade practices. Our document includes a Warranties and Disclaimers section that clearly outlines the item's condition to satisfy both the MD Consumer Protection Act and MD Code Com. Law § 2-201 requirements.
While not strictly required for all personal property under Maryland law, notarization is a verified best practice for high-value business assets. It provides an extra layer of authenticity that can prevent disputes over signatures if a licensing board or tax authority reviews the transaction.
